OPPORTUNITY OVERVIEW
Teradyne is seeking a Director, Corporate Development and Financial Intelligence to strengthen the analytical foundation supporting the company’s inorganic growth and strategic investment decisions. This role is responsible for ensuring that M&A and strategic transaction decisions are grounded in rigorous, consistent, and well-documented financial analysis.
In addition to owning financial modeling and valuation for transactions, the role builds durable analytical assets, including deal repositories, benchmarking frameworks, and standardized target assessments, to improve consistency, transparency, and decision quality over time.
KEY RESPONSIBILITIES
Financial Modeling and Valuation Discipline
Own the development and integrity of financial models supporting acquisitions, divestitures, investments, and strategic alternatives, including DCF, IRR, accretion/dilution, sensitivity, and downside analyses. Ensure valuation approaches and assumptions are consistent with Teradyne’s financial standards and planning frameworks. Independently review and pressure-test management cases, external advisor analyses, and banker models prior to executive or Board review.
Deal Repository and Benchmarking
Build and maintain a structured repository of evaluated and executed transactions, capturing key financial, strategic, and structural attributes. Enable benchmarking across historical and current opportunities to provide context on valuation, growth expectations, margin profiles, capital intensity, and deal structures. Use this information to improve consistency, comparability, and institutional memory across decisions.
Target Fact Packs and Standardized Assessments
Develop standardized fact packs for acquisition and investment candidates that present financial performance, business models, technology maturity, customer exposure, and key risks in a consistent, comparable format. Ensure materials allow leadership to evaluate multiple opportunities efficiently and on a like-for-like basis.
Decision Support and Executive Communication
Translate strategic priorities into clear, data-driven financial insights for executive leadership. Prepare valuation summaries, financial exhibits, and supporting materials for management, investment committee, and Board discussions. Support Corporate Development leadership in framing trade-offs, risks, and alternatives grounded in quantitative analysis.
Advanced Analytics and AI Enablement
Apply modern analytical and AI-enabled tools pragmatically to improve the efficiency, consistency, and quality of research, modeling support, and information synthesis. Stay current on emerging tools relevant to financial analysis, benchmarking, and competitive intelligence, applying them with appropriate governance and controls.
Cross-Functional Financial Alignment
Work closely with FP&A, Accounting, Tax, Treasury, and Business Unit finance teams to ensure alignment between transaction analyses and Teradyne’s financial plans, assumptions, and reporting frameworks. Support financial diligence activities, including quality of earnings review, working-capital analysis, and purchase-price considerations.
Corporate development leadership
This role will expand beyond analytic leadership to include proactive identification and development of corporate development opportunities, as well as direct ownership of select, well‑bounded transactions. This includes proactively identifying and cultivating potential acquisition, investment, or partnership targets aligned with Teradyne’s strategic and financial priorities; maintaining an informed view of relevant industry, technology, and competitive landscapes; and developing initial financial and strategic cases to advance opportunities for internal consideration. As experience and credibility are established, the role will assume end‑to‑end execution responsibility for smaller transactions, including initial evaluation, diligence coordination, transaction structuring, internal approvals, and close, operating within Teradyne’s established governance and decision‑making frameworks and in partnership with Corporate Development leadership.
REPORTING RELATIONSHIPS
This role resides within the Corporate Development office. The position works closely with the Finance function, including the Chief Financial Officer and the Head of FP&A, to ensure strong alignment with Teradyne’s financial frameworks, capital allocation discipline, and planning assumptions.
REQUIRED BACKGROUND AND QUALIFICATIONS
- 5-10 years of professional experience in technology-focused investment banking (M&A or Corporate Finance), transaction advisory or financial due diligence within a Big 4 accounting firm, corporate development or strategic finance roles within a technology company, or corporate finance practices within leading consulting firms (e.g., McKinsey, BCG, Bain).
- Demonstrated depth in financial modeling, valuation, and transaction analysis supporting M&A, investments, or strategic alternatives.
- Experience evaluating and leading transactions within semiconductor, semiconductor capital equipment, or advanced technology-driven businesses.
- Engineering Bachelor’s degree required; advanced degree (MBA or technical master’s) preferred.
- Strong financial rigor, sound judgment, and ability to synthesize complex financial and technical information into clear, decision-ready outputs.
- Comfort operating as a senior individual contributor with regular engagement with executive leadership and cross-functional partners.

Compensation:
The base salary range for this role is $159,200 - $254,700. This range is a good faith estimate, and the amount of base salary will correspond with experience and skill set. This range can also fluctuate depending on demand and location.
Incentive Plan: This job is eligible for discretionary bonus(es) based on financial performance.
