Corporate Paralegal

We are seeking an experienced Corporate Paralegal who will support our growing Legal Department. You will support our in-house attorneys and compliance professionals, who handle public company compliance, commercial contracting, NDA review, M&A support, litigation management, subsidiary administration and regulatory compliance. In addition, you will help manage work processes, ensuring that the Legal Department runs efficiently. 


The ideal candidate will be a highly motivated self-starter with superior interpersonal skills, who excels in a fast-paced demanding environment, enjoys buildings strong relationships with internal clients, and is able to successfully manage competing priorities and work independently, while delivering quality work under a tight timeline.


  • Assist attorneys with the preparation and coordination of SEC filings including annual proxy statements, Forms 10-K, 10-Q, 8-K and Section 16 filings and compliance (securities transaction disclosure filings for executives and directors).
  • Support contract management team including reviewing non-disclosure agreements and other routine contracts, tracking active contract negotiations, maintaining our contract database, organizing contract templates, and facilitating contract approval and signature process.
  • Project management support for litigation, including coordinating discovery with outside counsel and internal clients and IT department.
  • Facilitate M&A transactions, diligence and integration activities.
  • Support regulatory compliance team projects, including deploying trainings. 
  • Assist in the preparation of materials and minutes for Board and Committee meetings.
  • Manage domestic and international legal entities and maintain corporate records.
  • Supporting the administrative needs of the Legal Department, including invoice approvals, signature administration, mailings, notarization, etc.



  • Five or more years of experience as a Paralegal.
  • Experience reviewing and negotiating non-disclosure agreements.
  • Experience assisting public companies with preparation of annual proxy statements, SEC Forms 10-K, 10-Q, 8-K and Section 16 filings (securities transaction disclosure filings for executives and directors).
  • Possess superior organizational skills and the ability to manage multiple projects with shifting deadlines.
  • Excellent writing, verbal, computer and interpersonal skills.
  • Attention to detail and ability to analyze and track complex information.
  • Willingness and ability to learn new substantive skills and expand existing ones.
  • Team oriented attitude with ability to deliver constructive and creative support.
  • Strong MS Office skills, including Word, Excel, PowerPoint and Outlook, and aptitude to quickly learn new systems.


  • Undergraduate Degree or an Associate’s Degree.
